By accessing or using the BT Asset Hub platform (referred to as "Platform"), you agree to abide by these Terms and Conditions (referred to as "Terms"). Please read these Terms carefully. If you do not agree to any part of these Terms, you must not access or use the Platform.
- "BT Asset Hub" refers to the digital platform owned and operated by Black Tie Holdings IP Pty Ltd ACN 650 430 229 a company registered withing Australia, designed to facilitate asset tokenization, investment management, and trading.
- "User" refers to any individual or entity accessing or using the Platform, including asset managers, investment managers, investors, and administrators.
- "Assets" refers to tokenized securities, funds, or other investment opportunities listed on the Platform.
- "Token" refers to any digital asset issued on the Platform representing ownership or rights to assets.
- You are of legal age and have the authority to enter into this agreement.
- You will comply with all applicable laws and regulations.
- You have read, understood, and agree to these Terms and our Privacy Policy.
- Access to certain features of the Platform requires user registration. Users must provide accurate and complete information during registration.
- Users are responsible for maintaining the confidentiality of their account credentials and are fully responsible for all activities under their account.
- BT Asset Hub reserves the right to suspend or terminate any account that is found to be in breach of these Terms.
- Users shall not use the Platform for any illegal or unauthorized purposes.
- Users must not attempt to gain unauthorized access to other user accounts or interfere with the functionality of the Platform.
- Users are responsible for ensuring that their use of the Platform complies with all applicable laws, including but not limited to securities laws, anti-money laundering (AML), and know-your-customer (KYC) regulations.
- Asset Managers must ensure that all information submitted for asset listings is accurate, complete, and up to date.
- Asset listings are subject to review and approval by BT Asset Hub. We reserve the right to modify or remove any listings that do not comply with our standards.
- All transactions involving assets, including investments, dividends, sales, and reinvestment plans, must be conducted transparently and in accordance with applicable laws.
- Investment Managers are responsible for the accuracy of all data, compliance documentation, and reports submitted on the Platform.
- Users involved in investment activities must adhere to the relevant legal and regulatory requirements, including AML/KYC compliance.
- BT Asset Hub may request additional documentation or verification at any time to ensure compliance.
- Investor Platform Fees: 0.5% on all buy, sell, and trade orders.
- Asset Manager Fees: up to 1.5% management fee and 10% of capital raised, payable in tokens.

- Fees may be updated periodically, and users will be notified of changes.
- BT Asset Hub Tokens may be issued as part of promotions, capital raising, or other transactions on the Platform.
- Tokens can be redeemed for assets within the Platform but are not redeemable for fiat currency outside the Platform.
- The usage of tokens is governed by these Terms, and any misuse may result in account suspension.
- BT Asset Hub is committed to protecting your privacy. Please review our Privacy Policy for more information on how we collect, use, and protect your personal data.
- By using the Platform, you consent to the collection and use of your data in accordance with our Privacy Policy.
- In the event of a dispute between users or with BT Asset Hub, we encourage users to reach out to our support team to resolve the issue amicably.
- If a dispute cannot be resolved informally, it shall be settled through arbitration in accordance with the laws of New South Wales, Australia.
- BT Asset Hub is not responsible for any losses or damages, whether direct or indirect, arising from your use of the Platform, including any investment or trading decisions.
- The Platform is provided "as is" and "as available," and we do not warrant that the Platform will be error-free or uninterrupted.
- You agree to indemnify and hold harmless BT Asset Hub, its affiliates, and employees from any claims, losses, damages, liabilities, costs, or expenses arising out of your use of the Platform, violation of these Terms, or infringement of any third- party rights.
- BT Asset Hub reserves the right to update or modify these Terms at any time. Users will be notified of any significant changes.
- Continued use of the Platform following the posting of changes constitutes acceptance of those changes.
- BT Asset Hub may, in its sole discretion, suspend or terminate your account if you violate these Terms or engage in activities that may harm the Platform or its users.
- Upon termination, any remaining assets or tokens in your account may be subject to review before being released or refunded.
- These Terms constitute the entire agreement between you and BT Asset Hub and supersede any prior agreements.
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- These Terms are governed by the laws of New South Wales, Australia.
